Me-Prep Terms of Service for Merchants

These Terms of Service ("Terms") govern the use of the Me-Prep platform ("Platform") by restaurants, food vendors, and merchants ("Merchants") who offer meal subscriptions through our service, operated by PrimeLeaper LLC ("we," "us," or "our"). By registering as a Vendor on Me-Prep, you agree to comply with these legally binding Terms. If you do not agree, do not access or use the Platform.

1. Platform Description

Me-Prep enables Vendors to offer ready-made meals as part of prepaid, scheduled meal plans. Customers place and pay for orders through our platform, and pick up meals at the Vendor's location at the scheduled time. PrimeLeaper LLC facilitates orders, payment processing, and customer notifications.

2. Merchant Eligibility & Registration

To register, you must:

  • Be a legally registered food business in good standing.
  • Comply with all health, safety, and licensing requirements applicable in your jurisdiction.
  • Provide accurate, complete, and current information.

We reserve the right to verify your eligibility and to reject or suspend your access at any time for violations or inaccuracies.

3. Merchant Responsibilities

You agree to:

  • Accurately list meals, prices, pickup times, and menu descriptions.
  • Fulfill all prepaid orders on time and as described.
  • Maintain cleanliness, food safety, and health compliance.
  • Respond promptly to customer inquiries or complaints.
  • Accept and process orders exclusively through Me-Prep when listed.
  • Keep your Stripe account and payment setup valid and current.

4. Fees and Payouts

Commission: Me-Prep charges a standard commission (13%–15%) per order. Founding Vendors may receive a reduced commission (9.5%) for a limited period.

Payouts: All payments are processed through Stripe. Payouts are subject to Stripe's schedule and terms. Me-Prep does not store your bank or payment credentials.

5. Cancellations, Refunds, and Customer Disputes

  • You must provide a clear cancellation and refund policy visible to customers.
  • You are responsible for handling refunds, customer disputes, or order errors unless the issue stems from a platform-related error.
  • Me-Prep reserves the right to refund a customer directly and recover funds if you do not respond or resolve issues in a timely manner.

6. Content and Intellectual Property

You grant Me-Prep a limited, non-exclusive license to use your business name, logo, images, and meal descriptions for marketing, sales, and operational purposes. You represent and warrant that you own or have permission to use all submitted content.

7. Independent Contractor Status

You operate as an independent business. Me-Prep does not employ you, control your business practices, or guarantee any revenue, number of customers, or order volume. You are responsible for your own tax, employment, insurance, and regulatory compliance.

8. Suspension & Termination

Me-Prep may suspend or terminate your account at any time for violations of these Terms, customer safety concerns, or negative conduct affecting platform trust. Inactive accounts may also be deactivated.

9. Liability Disclaimer

Me-Prep is not responsible for:

  • Quality, safety, or compliance of meals provided by you.
  • Losses resulting from order volume fluctuations or delivery errors.

You agree to indemnify and hold harmless Me-Prep, its affiliates, directors, employees, and agents from any claims arising out of your operations, offerings, or violations.

10. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law rules.

11. Changes

We may update these Terms at our sole discretion. We will provide notice via the Vendor/Merchant dashboard or email. Your continued use of the Platform constitutes acceptance of the revised Terms.
